Minutes of Special Meeting 25 Sept 2002

Present: Board members Anderson, Balmer, Carroll, J. Comly, L. Comly, Delano, Fladger, Fleischer, A. French, S. French, Koopmann, Ludwig, Wait and Wise.

The meeting was called to order at 6:00 PM

President S. French recognized Carroll, who presented the report of the Executive Director Search Committee recommending an offer to M. Colleen Gino of the post of Executive Director of the Dudley Observatory. (Full report available on request)

Discussion of the report followed.

Following the discussion it was:

Moved: that the Board accept the committee's recommendation and hire M. Colleen Gino as executive director. Starting date and to be negotiated by S. French with end date for the initial appointment to be June 30, 2004.
The motion was seconded and approved.

The Board requested S. French to present a job offer to Ms. Gino as soon as possible, and to make a salary offer in accordance with previous Board resolutions regarding Executive Director expenses.

The Board heartily thanked Carroll for his extremely effective chairmanship of the search committee

Other business:

George Elferink has submitted his resignation as treasurer, effective Oct. 31, 2002. In reluctantly accepting this resignation, the Board resolved the following:

The Trustees of the Dudley Observatory express their very great gratitude to George Elferink for his extremely faithful, productive, effective, and conscientious service to the observatory as a Board Member since 1988, and as Treasurer and Investment Advisor since 1993. In addition to his superb job at administering, protecting and enhancing the Dudley's finances, George has been a wise adviser of the very highest integrity on all Dudley issues, financial and non-financial alike. He remains a valued friend whom the Board hopes will often find opportunities to return to the Capital Region and share in the Dudley Observatory's future, to which he has contributed so much to make possible.

J. Comly volunteered to serve as interim treasurer while a new treasurer is sought.

Moved: that James Comly be appointed as assistant treasurer immediately, and interim treasurer as of Nov. 1.
Seconded and approved.

The Board also resolved the following:

The Trustees of the Dudley Observatory express their very great gratitude to Margaret J. Schwab for her fine performance as interim director of the Dudley Observatory. Her achievements in fund raising, initiating an exciting new Rising Star program, and contributing to the ongoing celebration of the Dudley Observatory's sesquicentennial give a great start to the Dudley's next 150 years. Her role in preparing contract proposals, and securing a grant from the Troy Savings Bank for educational purposes are building blocks for that new era. The Board is fortunate that Janie remains one of its membership, and is confident that her superb education skills and enthusiasm will continue to serve the Dudley with distinction, as they have done during her term as interim director.

The meeting was adjourned at 6:50.

Addendum: Following the meeting, S. French conveyed the position offer of Executive Director to M. Colleen Gino, and Gino accepted the offer. French will send out a memo describing the timing and other details.
